1. Scope of Services

Techtonicstack Agency is a full-service digital marketing and technology agency providing services including, but not limited to:

  • Web Development & CMS: Custom Next.js architectures, WordPress, Shopify, Wix, and scalable web platforms.
  • App & AI Automation: Native/cross-platform app development, automated client workflows, and smart AI integrations.
  • Digital Marketing & Paid Ads: Google Ads (Search, Display, Shopping) and Meta Ads (Facebook & Instagram) strategy and campaign management.
  • SEO & Content Strategy: Technical SEO audits, schema optimization, and data-driven content strategy.
  • Graphic Design & UI/UX: Brand identity, Figma wireframing, and visual assets.

Detailed scope, timelines, deliverables, and fees for specific client projects will be defined in individual Proposals, Statements of Work (SOW), or Service Agreements.

2. Client Responsibilities & Cooperation

To ensure successful and timely execution of projects, the Client agrees to:

  • Provide timely access to necessary brand assets, media files, hosting/server accounts, and advertising managers (e.g., Google Ads, Meta Business Manager).
  • Provide prompt feedback, approvals, and direction required for project milestones.
  • Ensure all materials provided to Techtonicstack Agency do not violate any third-party copyrights, trademarks, or proprietary rights.

Note: Delays in client feedback or asset delivery may result in adjusted project schedules.

3. Payment Terms, Fees & Ad Spend
  • Project Payments: Web development and design projects typically require an initial non-refundable deposit before work commences, with remaining balances tied to project milestones.
  • Retainers: Monthly marketing and automation services are billed in advance on a recurring monthly schedule.
  • Ad Spend & Third-Party Costs: Third-party platform fees (e.g., Google Ads spend, Meta Ads spend, hosting services, domain registration, API tools) are paid directly by the Client and are separate from Techtonicstack Agency’s service fees.
  • Late Payments: Failure to clear invoices within the agreed timeframe may lead to a temporary pause on active services or campaign management.
4. Intellectual Property Rights
  • Client Deliverables: Upon full payment of all invoices, the Client owns the final deliverables, custom design assets, and source code specifically created for their project.
  • Agency Intellectual Property: Techtonicstack Agency retains full ownership over pre-existing code frameworks, proprietary scripts, agency workflow templates, and internal AI automation models developed outside or prior to the client engagement.
5. Revisions, Cancellations & Refunds
  • Revisions: Included revision rounds are specified in your project agreement. Additional out-of-scope revisions will be billed at standard agency rates.
  • Cancellations: Either party may terminate a project agreement by submitting a written notice. In the event of cancellation, the Client will be responsible for payment covering all work completed up to the date of cancellation. Initial project deposits are non-refundable.
6. Disclaimer of Warranties & Limitation of Liability
  • Techtonicstack Agency employs industry best practices in digital marketing, web optimization, and AI automation. However, we cannot guarantee specific financial results, guaranteed sales numbers, or fixed search engine rankings due to market dynamics and third-party algorithm changes (e.g., Google search algorithms, Meta ad policy updates).
  • To the maximum extent permitted by applicable law, Techtonicstack Agency shall not be liable for any indirect, incidental, or consequential damages resulting from website downtime, server failures, or third-party platform disruptions.
7. Confidentiality & Data Privacy

Both Techtonicstack Agency and the Client agree to protect confidential information, business strategies, credentials, and customer data shared during the course of the business relationship. Information will not be disclosed to any third party without explicit consent.

8. Changes to These Terms

We reserve the right to modify or replace these Terms and Conditions at any time. Any changes will be updated directly on this page with an updated “Last Updated” date.
